Overview
Our mission is to help build and finance innovative companies. With a team of dedicated, energized professionals, we have built a legal services engine for the emerging companies and venture capital market that is systematic, knowledgeable and efficient.
We assist founders, start-ups, and emerging companies form, finance, and grow their businesses, and we assist venture capital firms and strategic investors with their investment activities. We deliver responsive, high-value services to clients located throughout the United States (including entrepreneurial hotspots such as Silicon Valley, New York, Boston, Austin, and here in our own backyard, the Research Triangle of North Carolina).
Emerging Companies
We help accelerate growth. We provide entrepreneurs with the legal resources they need to develop their businesses, whether they are serial or first-time entrepreneurs, university professors, garage tinkerers, moonlighting programmers, bench scientists, or established executives.
We counsel founders on early-stage issues, including scaling their businesses and obtaining capital. As one of the most active law firms in venture capital, we advise on all types of financing transactions, including market conditions and financing strategy.
We regularly act as outside general counsel for company clients, assisting with a wide variety of matters, including entity choice and organization, stockholders agreements, board and stockholder management, capital raising and securities law compliance, licensing and technology issues, commercial contracts, employment matters, and exits.
Venture Capital
We help finance innovation. From the venture arms of Fortune 500 companies to angel investors backing their first startups, our clients rely on our experience and expertise to navigate fast-paced private financing rounds. We are one of the largest venture capital teams in the Southeast, and we draw on our deep bench of experience to drive deals to closing in a quick and cost-effective manner.
Our nationally ranked venture capital practice closes hundreds of venture financings each year, giving us unique insights into the latest market trends and best practices. We leverage that knowledge to find practical, common-sense solutions to seemingly intractable disagreements. Our professionals take the time to learn and adapt to our clients’ needs and preferences, and consistent staffing ensures that institutional knowledge is carried across each investment transaction.
