Andrew practices in the areas of capital markets, securities law, mergers and acquisitions and corporate law. He represents companies in their initial organizations and financings, public offerings, mergers and acquisitions, SEC reporting and compliance matters. Prior to joining the firm, Andrew practiced as an associate in the Capital Markets group at the global law firm of Jones Day in Cleveland, Ohio. Andrew’s experience includes advising a diverse range of companies and financial institutions on capital markets and corporate governance matters. He has represented both public and private companies in equity and debt offerings and restructurings, including Rule 144A offerings, tender offers, and exchange offers. He also advises public companies on corporate governance, securities laws, stock exchange rules and regulations, and periodic reporting responsibilities.
Andrew earned his J.D., cum laude, from Case Western Reserve University School of Law and his M.B.A. from Case Western Reserve University-Weatherhead School of Management. During law school, Andrew served as a judicial extern to Federal Chief Magistrate Judge Michael R. Merz in Dayton, Ohio. Andrew received his A.B. from the University of North Carolina at Chapel Hill where he majored in both Journalism/Mass Communications and Political Science.
