Bio

Chris’s practice focuses on representing borrowers and lenders in a broad variety of debt and financing transactions, including real estate secured lending, cash flow and asset-based loans, subordination and intercreditor agreements, and acquisition loans.  Chris also represents state and federally regulated financial institutions on a broad range of operational issues, such as mortgage origination and mortgage servicing compliance, fair lending issues, truth in lending disclosures, customer facing bank deposit and credit card agreements, customer collections and bankruptcy, vendor contracting arrangements, and payments.  For bank operational issues, Chris has focused his practice on the adoption of new and emerging technologies for mobile banking, expedited funds availability, prepaid accounts and money transmission.

Chris graduated from the University of Delaware.  He received his J.D., magna cum laude, from the University of Richmond.  Chris was an editor of the University of Richmond Law Review and was a member of the McNeill Law Society.

  • Represented major investor syndicate in the over $500 million sale of their virtual-first healthcare multi-brand platform portfolio company to a strategic partner.
  • Represented federally regulated lenders in connection with commercial loans secured by all asset liens, real estate collateral, mezzanine debt, and multi-tenant commercial properties.
  • Represented numerous out-of-state lenders in revising loan documentation to conform with NC law.
  • Represented numerous federally regulated lenders in connection with a workouts, restructurings or liquidations of multiple distressed loan facilities supported by real estate and personal property collateral.
  • Represented federally regulated lenders in enforcement of remedies under Article 9 of the UCC.
  • Represented federally regulated lenders in connection with sales of distressed loans and disposition of foreclosed collateral.
  • Represented numerous federally regulated lenders in development of TRID, TILA, Reg. E., and ECOA compliance programs, including compliance advice regarding regulatory requirements for modifying consumer purpose loans.
  • Represented numerous federally regulated lenders in developing vendor management control processes and drafting of vendor contracts.
  • Represented federally regulated lenders in developing processes to ensure proper electronic delivery of lending disclosures.
  • Represented lenders in developing compliance advice regarding enforceability of electronically signed loan documents, including E-Sign and UETA compliance, E-Recording and use of E-Notary.
  • Advised the Monitor of the National Mortgage Settlement (NMS), Joseph A. Smith, Jr., regarding interpretation and implementation of the NMS Consent Judgment.
  • Represented non-bank financial services providers in drafting service agreements regarding sales of prepaid cards, debit cards, money transmission, financial services applications for mobile devices, bill payments, and money orders.
