SEC Relief for Certain Public Company Filing Obligations

On March 25th, the Securities and Exchange Commission issued an order extending the period for conditional regulatory relief for certain publicly-traded company filing obligations due to COVID-19. The order provides publicly traded companies with an additional 45 days to file certain disclosure reports that would otherwise have been due between March 1 and July 1, 2020, extending the period originally provided under the Commission’s prior order dated March 4, 2020.  The extended filing deadlines are only available if certain conditions are met, including the requirement that the filer submit a Form 8-K by the later of March 16 or the original reporting deadline, summarizing, among other things, why the relief is necessary in its particular circumstances  The SEC’s press release announcing this conditional regulatory relief and the accompanying Commission Order may be accessed here
