Emerging Companies

Overview

For over 40 years, we have helped founders, start-ups, and emerging companies form, finance, and grow their businesses, and have assisted countless venture capital firms and strategic investors with their investment activities. We have decades of experience, and a high volume of formation, general corporate, and transactional work. Our Emerging Companies practice group delivers responsive, high-value services to clients located throughout the United States (including entrepreneurial hotspots such as Silicon Valley, New York, Boston, Austin, and elsewhere).

We regularly act as outside general counsel for founder and company clients, assisting with a wide variety of matters such as:

  • entity choice and organization;
  • stockholder agreements;
  • board and stockholder management;
  • capital raising and securities law compliance;
  • commercial contracts and strategic relationships;
  • licensing, trademarks, and other intellectual property;
  • employment, consultant, and adviser matters;
  • benefits and equity incentive programs; and
  • mergers and acquisitions.

Our clients include, among many others, serial and first-time entrepreneurs, university professors, garage tinkerers, moonlighting programmers, bench scientists, established start-ups, growth companies, corporate venture capital arms, and a variety of venture capital and private equity funds.

Our team has a scale and depth that allows us to innovate and streamline routine processes and to participate broadly in the start-up and emerging growth community. We also help organize and sponsor local and regional events, sit on boards of nonprofit and other organizations, speak on panels, provide pro bono advice at incubators and accelerators, and author articles and other reference materials in our industry.
